Terms of Use for Tradera.xyz

This Terms of Use Agreement ("Agreement") is entered into by and between tradera.xyz ("Company," "we," "us," or "our"), a SaaS web application, and you, the user ("User," "you," or "your"). This Agreement governs your access to and use of the tradera.xyz website, services, and applications (collectively, the "Service").

By accessing or using the Service, you signify that you have read, understood, and agree to be bound by these Terms of Use, whether or not you are a registered user of our Service. If you do not agree with these Terms of Use, you must not access or use the Service.

This Agreement is effective as of 11/16/2025 ("Effective Date").

1. Definitions

• "Service" refers to the SaaS web application tradera.xyz, including all its features, functionalities, content, and related services.
• "User" refers to any individual or entity who accesses or uses the Service.
• "Account" refers to a user account created to access and use certain features of the Service.
• "Content" refers to any data, text, graphics, images, audio, video, software, and other materials that are made available through the Service.
• "User Content" refers to any Content that you submit, post, display, or otherwise make available on or through the Service.
• "Intellectual Property Rights" refers to all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights and other intellectual property rights as may now exist or hereafter come into existence, and all applications therefore and registrations, renewals and extensions thereof, under the laws of any state, country, territory or other jurisdiction.

2. Access and Use of the Service

A. Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms of Use, you represent and warrant that you are at least 18 years old and are otherwise capable of forming a binding contract with the Company.

B. User Accounts

To access certain features of the Service, you may be required to register for an Account. When creating an Account, you agree to:

• Provide accurate, current, and complete information as prompted by the registration form.
• Maintain and promptly update the registration data to keep it accurate, current, and complete.
• Maintain the security of your password and identification.
• Be fully responsible for all use of your Account and for any actions that take place using your Account.

C. Acceptable Use

You agree not to use the Service for any unlawful purpose or in any way that might harm, abuse, or otherwise interfere with the Service or any other user's enjoyment of the Service. Prohibited activities include, but are not limited to:

• Uploading or transmitting any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
• Interfering with or disrupting the Service or servers or networks connected to the Service.
• Attempting to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.
• Engaging in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.

3. Intellectual Property Rights

All Intellectual Property Rights in the Service and its original content, features, and functionality are and will remain the exclusive property of tradera.xyz and its licensors. The Service is protected by copyright, trademark, and other laws of both China and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of tradera.xyz.

4. User Content

A. License to Company

By submitting, posting, or displaying User Content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and our (and our successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels.

B. Your Responsibilities for User Content

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that:

• You own the User Content posted by you or otherwise have the right to grant the license set forth in this Section.
• The posting and use of your User Content on or through the Service does not violate the privacy rights, publicity rights, Intellectual Property Rights, contract rights, or any other rights of any person.

5. Payment and Fees

Should you elect to subscribe to any paid features or services provided by tradera.xyz, you hereby agree to remit all requisite fees and taxes. Unless explicitly stated otherwise, all fees are non-refundable, except where a refund is provided upon user notification and contact with support. The Company retains the prerogative to modify its pricing structure and billing methodologies at its sole discretion. Any such adjustments will be communicated to you in advance.

6. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, the Company expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company makes no warranty that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service.

8. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

• Your use and access of the Service, including any data or content transmitted or received by you.
• Your breach of any of these Terms of Use.
• Your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights.
• Your violation of any applicable law, rule, or regulation.

9. Termination

We may terminate or suspend your Account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your Account, you may discontinue using the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law and Dispute Resolution

This Agreement shall be governed and construed in accordance with the laws of China, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration in China, in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC).

11. Miscellaneous

A. Entire Agreement

These Terms of Use constitute the entire agreement between you and tradera.xyz regarding the use of the Service.

B. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.

C. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and tradera.xyz's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

D. Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by the Company without restriction.
